True today, and what applies to real clinics

Today the Service is a proof of concept. It runs with one fictional clinic (Clínica Dentária Jacarandá) and fictional data only. No clinic has signed these terms. One owner test call used a fictional patient identity; no real patient call is evidenced. These terms describe what would apply to the first real clinic. They cannot be signed until the applicable legal, provider and product prerequisites have been settled.

Who we are and who you are

When we say "we", "our" or "us", we mean Peraditus, Lda, a private limited company (sociedade por quotas), NIF 515457558, with its registered address at Avenida da República, N.º 856, 1.º, Esq.º Frente, 4450-240 Matosinhos, Porto (verified against the Certidão Permanente; see Provider identification at the end of this page).

When we say "the Service", we mean the AI telephone receptionist and its web dashboard.

When we say "you" or "the clinic", we mean the dental clinic that holds an account. The Service is for businesses only. It is not offered to consumers.

When we say "callers", we mean the people who phone your clinic and reach the Service. Most are your patients or prospective patients.

These terms include the Data Processing Addendum and the Acceptable Use Policy. Our Privacy Policy explains how we handle data about you and your staff. If we change these terms, we tell you as described in Policy updates. These terms limit our liability (see Liability).

What the Service does

The Service answers calls to a number that your clinic forwards to it. On each call it:

  1. Tells the caller in its first sentence that they are speaking with an AI assistant, and that the call is recorded when recording is on.
  2. Speaks European Portuguese, and English when a caller speaks English.
  3. Answers questions from the clinic knowledge document that your staff publish in the dashboard.
  4. Reads availability from your Cal.com calendar and books an appointment after reading the details back to the caller.
  5. Takes a message with the caller's name and phone number when it cannot help.
  6. Records a cancellation or a reschedule as a request for your staff. It does not change or cancel an existing booking. Your staff do that.

After each call your staff see the call record, the transcript and the outcome in the dashboard for 6 months.

What the Service does not do

  • It does not give medical, dental or health advice. When a caller asks for health guidance, it says it cannot advise and points them to SNS 24 (808 24 24 24).
  • It is not an emergency service. When a caller describes an emergency, it first tells them to call 112 now. It does not call anyone on their behalf.
  • It does not transfer calls to your reception. It takes a message instead.
  • It does not verify a caller's identity. A name and a phone number are not proof of who someone is. This is why cancellations and reschedules go to your staff.
  • It can mishear names, numbers and dates, and it can give a wrong answer. It answers only from the knowledge you publish, and it can still be wrong.

You decide whether these limits are acceptable for your clinic before you forward calls to the Service.

Your responsibilities

  1. Tell callers. You are the controller of your patients' data. You tell callers, before or at the start of the call, that an AI answers and that calls are recorded and transcribed. The Service plays a disclosure in its first sentence. You also publish a privacy notice for patients. A draft is in privacy-notice-pt-pt.md.
  2. Have a lawful basis. You decide and record the lawful basis for processing call data, including the condition for health data that callers may mention. You decide whether calls are recorded (open item L18).
  3. Keep your clinic knowledge accurate. Your staff write and publish the clinic knowledge (opening hours, services, practitioners, prices if you choose to publish them). The Service repeats what you publish. Review it after every change.
  4. Who edits what. Your staff edit the clinic knowledge, mark messages as handled and act on cancellation and reschedule requests. We maintain the agent's safety rules (disclosure, emergency, health advice, no promises), the prompt structure and the integrations. Your staff cannot edit the safety rules.
  5. Keep a human route. Keep a way for patients to reach a person at the clinic, and know how to switch off call forwarding at your telephone operator without our help.
  6. Keep your account secure. You are responsible for the people you invite to the dashboard and for removing staff who leave.
  7. Use the Service lawfully. You follow the Acceptable Use Policy and make sure your staff do too.

Fees and payment

Fees, the billing cycle, payment method and late-payment terms are not set (open item L8). No payment processor is in place (open item L9). Fees exclude IVA and other taxes unless stated otherwise. During the proof of concept nobody pays anything.

Term, cancellation and termination

  1. The term starts when both parties sign the order form [ORDER FORM] and lasts [TERM] (open item L11).
  2. You can cancel by writing to support@transversal.io (open item L3: the address is set) with [NOTICE PERIOD] notice (open item L11). Refund terms are [REFUND TERMS] (open item L11).
  3. Before the end, you can export your data. The steps, the formats and the deletion timeline are in Offboarding and data export.
  4. We can suspend or end your account if you break these terms or the Acceptable Use Policy. We give notice first, except where the use causes or will cause serious harm to callers, to other clinics or to the Service. The process is in the Acceptable Use Policy.
  5. Abuse or threats towards our staff end the account at once.

Your data

  1. You own the data your clinic puts into the Service and the call data it produces for you. We claim no ownership of it.
  2. You give us the right to use that data only to provide the Service to you, as set out in the Data Processing Addendum.
  3. We do not sell your data or your patients' data. We do not use patient call data to train AI models. Whether each provider uses data for training is not yet confirmed in writing (open item L29).
  4. People at our company access patient call data only for these reasons:
    • to answer a support request you make, with your permission
    • to investigate an incident or an error that stops an automated process, using the least data possible
    • to investigate abuse under the Acceptable Use Policy
    • when the law requires it. We tell you first unless the law forbids it.
  5. We use subprocessors to run the Service. They are listed in Subprocessors.

Availability, security and changes

  1. The proof of concept has no service level agreement and no uptime commitment. See Service levels.
  2. The security controls in place today, and the ones that are not, are in the Security overview.
  3. We can change or remove features. If a change removes something you depend on, we tell you [NOTICE PERIOD] in advance (open item L27).
  4. If we change prices for an existing contract, we give at least [PRICE NOTICE] notice by email (open item L8).

Intellectual property

We, or our licensors, own the Service, including its software, prompts and design. Using the Service gives you no ownership of it. Do not copy, resell or reverse-engineer the Service without our written permission.

Features and bugs

Like any software, the Service has bugs. Known defects are tracked and fixed in order of risk, with safety and privacy first. We do not promise that the Service is error-free or that it suits every clinic.

Liability

Each party's total liability in any 12-month period is limited to the greater of the fees you paid or owed in the 12 months before the event and EUR 10,000. For a breach of the Data Processing Addendum or of confidentiality, the limit is the greater of 3 times that amount and EUR 50,000. Lost profits, lost patients and other indirect loss are excluded.

Liability that the law does not allow to be limited, such as for fraud, wilful misconduct (dolo) or gross negligence (culpa grave), including that of our staff and subprocessors, is not limited. Nor is liability for harm to life, physical or moral integrity or health, or for non-contractual pecuniary loss caused to you or to third parties. Nothing in these terms excludes your right to end the Agreement for breach, to withhold payment against our non-performance, to set off, or to retain.

Governing law and disputes

These terms are governed by Portuguese law.

Changes from the template

  • Replaced 37signals and its product list with the provider named in the company registry (Peraditus, Lda) and one Service.
  • Added a proof-of-concept status section and the "What the Service does" and "What the Service does not do" sections for AI voice limits, 112 and SNS 24.
  • Added clinic responsibilities as controller: caller disclosure, lawful basis, recording decision, knowledge accuracy, who edits what.
  • Removed the free plan, trial, upgrade and refund policy text. Fees and refunds are open items.
  • Removed the "until the end of the Internet" promise, the US uptime status page and the Basecamp Big SLA reference.
  • Removed the US law enforcement text (Stored Communications Act), the CCPA clause and the US copyright clause.
  • Removed the API terms and third-party integrations section, because the Service has no public API.
  • Replaced the US-style broad liability waiver with a capped liability clause and Portuguese governing law, with no forum clause. Changes on 2 November 2026: the owner accepted these terms without a lawyer (owner-decisions-2026-11-02.md).
  • Linked our DPA, acceptable use, privacy, security, service levels, offboarding and policy update documents.
